CANONICAL ACADEMY — TERMS OF SERVICE

These Terms of Service cover the provision of the Canonical Academy services (the "Service") by Canonical Group Limited ("Canonical", "us", "our" or "we") to you ("you" or "your") subject to and in accordance with these Terms of Service.

Please read these Terms of Service carefully before you use the Service. By using the Service, you agree to become bound by these Terms of Service. You may not use the Service for illegal or unauthorised purposes or otherwise not in accordance with these Terms of Service.

If you are entering into these Terms of Service on behalf of a company or legal entity, you represent that you have authority to bind such company or legal entity, its officers, employees and agents and all users who access the Service through the account, to these Terms of Service. “you” and “your” shall refer to the company or legal entity and such users. If you do not have such authority do not accept these Terms of Service.

You must be at least 13 years old to use the Service. If you are between age 13 and 18, you confirm that you have your parent's or legal guardian's consent to use the Service and that they have read and agreed to these Terms of Service.

Any change or update to the Service or Terms of Service will be made in accordance with section 6 below.

1. Canonical Academy Service

The Canonical Academy service is a certification program that grants you the opportunity to earn professional credentials in various Ubuntu subject areas. To this end, Canonical provides the following services:

• A platform for recording certification progress, purchasing access to the Canonical Academy service materials, and sharing earned credentials online.
• Access to purchased exams through the platform, if applicable.
• Access to Paid Content through the platform, if applicable.

2. Purchase, Registration, and Account Security

2.1 Purchase Types: You may purchase exam access seats on behalf of yourself as an individual, or, if you are entering into these Terms on behalf of a company or legal entity, on behalf of your designated team members ("Candidates").

2.2 Account Mandate: To access the platform, purchase seats, or manage invitations, access exam, an authenticated Single Sign-On (SSO) account and Ubuntu One account are required. SSO is an identity provider service that creates, maintains and manages user identity information, providing authentication services for Canonical and other third party applications. Ubuntu One is the single account you use to log in to all services and sites related to www.ubuntu.com.

2.3 Account Compliance: We reserve the right to reject your request for an SSO and/or Ubuntu One account or to immediately cancel or suspend your SSO and/or Ubuntu One account and your use of the Service at any time if you do not comply with the requirements herein. You must not attempt to create an SSO and/or Ubuntu One account or use the Service if doing so would violate these Terms of Service. You must:

• (a) have both an SSO account and an Ubuntu One account;
• (b) not use the Service for illegal or unauthorised purposes (or which encourage or permit illegal or unauthorised purposes), in infringement of a third party's rights or otherwise not in accordance with these Terms;
• (c) not take any action or use the Service in any way that might bring Canonical into disrepute or affect the ability of Canonical to provide the Service;
• (d) not use the Service in any manner that might be libellous or defamatory, that contains threats or incites violence towards individuals or entities, or that violates the privacy rights of any third party.

2.4 Security Maintenance: If you do not have both an SSO account and Ubuntu One account you will need to create these. You are responsible for choosing an appropriate password for your accounts and for keeping such password secure. Canonical will not ask you for your password and you should not reveal it to anyone. You are responsible for keeping your account details up to date.

2.5 Dashboard and Cancellation: You can view the exams that you have registered for or allocated at any time at: https://academy.canonical.com/. You may cancel access to the Service at any time by emailing exams@canonical.com. Note that this does not delete your Ubuntu SSO account or Ubuntu One account, since you might be using it for other Canonical services. To delete your Ubuntu SSO or Ubuntu One account, visit https://login.ubuntu.com and click "Permanently delete account."

3. Enterprise Seats, Candidate Provisioning, and Forfeiture Liability

This Section 3 applies exclusively if you are purchasing seats on behalf of a company, university, or other legal entity for multi-user distribution.

3.1 Dashboard Administration and Allocation: Managing, distributing, and assigning seats requires an authenticated administrative Ubuntu One/SSO account. You will specify the total number of Candidate seats at checkout and subsequently provide the designated name and corporate email address of each team member ("Candidate") via the platform administrative interface.

3.2 Candidate Onboarding: Following the submission of Candidate details under Section 3.1, Candidates will receive an automated invitation at the specified email address. To claim their allocated seat and access Canonical Academy, each Candidate must independently register for or authenticate via an individual Ubuntu SSO account.

3.3 Individual Integrity & Gating: You acknowledge that Canonical Academy credentials require strict personal academic integrity. Access to Canonical Academy materials, exam scheduling, and examination delivery is strictly conditioned upon each Candidate personally reviewing and explicitly executing the Individual Terms of Use. Canonical has no obligation to deliver services to any Candidate who refuses to execute the Individual Terms of Use.

3.4 COMMERCIAL LIABILITY & FORFEITURE: CANONICAL MAINTAINS NO COMMERCIAL, FINANCIAL, OR CONTRACTUAL LIABILITY TOWARD INDIVIDUAL CANDIDATES REGARDING SEAT PURCHASES, REFUNDS, OR SERVICE FEES, WHICH REMAIN STRICTLY BETWEEN CANONICAL AND YOU. YOU BEAR SOLE FINANCIAL AND COMMERCIAL RISK FOR THE CONDUCT OF YOUR ALLOCATED CANDIDATES.

3.5 No Refunds for Candidate Violations: If a Candidate violates the exam conduct and integrity rules (resulting in their credential being withheld or revoked, or their account being suspended, restricted, or permanently unenrolled from Canonical Academy exams) the seat is permanently forfeited. In accordance with the payment terms of these Terms, Canonical will not issue refunds or credits to you for any corrective actions taken due to Candidate misconduct.

4. Access to Exam Content

4.1 Mandatory Gating of Individual Terms: Access to Canonical Academy materials, exam scheduling, and examination delivery is strictly conditioned upon you, or the Candidate, personally reviewing and explicitly executing the Individual Terms of Use. Canonical shall have no obligation to deliver services to you or to any Candidate who refuses to execute the Individual Terms of Use.

4.2 Seat Expiration Timeline: Unless otherwise expressly agreed in writing or specified on an applicable Order Form, all purchased exam access seats must be allocated and utilised within twelve (12) months from the date of purchase. Any seats that remain unallocated or unutilised after this twelve-month window shall automatically expire. Upon expiration, the seats are permanently forfeited, and Canonical will not be obligated to provide any extension, replacement, or refund to the Customer.

5. Fees and Payment

5.1 General Terms: Canonical will not charge you for use of any free use materials associated with the Service. Your use of exams, practice tests and/or other training content ("Paid Content") will be charged as described below. Payment for Paid Content is due when you purchase access to Paid Content.

5.2 Processing Methods: You will be asked to enter your credit card details and to confirm your acceptance of these Terms. Fees are charged in the currency in which you make your purchase. Payment is handled by a third party and your credit card statement may identify payments as made to "Canonical" or "Stripe". You are responsible for any foreign transaction fees incurred by your bank. You must abide by any relevant terms and conditions or other legal agreement, whether with us or a third party, that governs your use of a given payment processing method. We may add or remove payment processing methods at our sole discretion and without notice to you.

5.3 Responsibility for Charges: Once your purchase is complete, we or our payment processor may charge your credit card or other form of payment, along with any additional applicable amounts (including any taxes). You are solely responsible for all amounts payable associated with purchases you make in accordance with these Terms.

5.4 Taxation: You are responsible for any Taxes (as defined below), and must pay for the Service without any reduction for Taxes. If Canonical is obliged to collect or pay Taxes, the Taxes will be charged to you. If you have a VAT ID please provide this with your credit card details when requested. "Taxes" means any duties, customs fees, or taxes (other than income tax) associated with the use of the Service or licensing of Software, including any related penalties or interest. You must comply with all applicable tax laws, including the reporting and payment of any taxes arising in connection with your use of the Service. The reporting and payment of any such applicable taxes are your responsibility.

6. Changes

6.1 Service Evolution: We continually aim to improve the delivery and content of the Service and accordingly may make changes to the Service from time to time. New features may be added, but we may also modify or discontinue (temporarily or permanently) part of the Service, in part or in whole. We may also offer the Service on a trial/beta basis, in which case your use of that Service will be limited to the period of your trial/beta and subject to the terms of the trial/beta.

6.2 Notification Window: In the event of a material change to the Service, we will notify you via the email you have provided to us. What constitutes a material change in this circumstance will be determined by Canonical, in good faith and using common sense and reasonable judgment.

6.3 Modifications to Terms: Similarly, we may occasionally make changes to these Terms and will notify you of material changes via the email associated with your account. If Canonical does make changes to these Terms, all changes will go into effect at the time we post the updated Terms of Service or as otherwise notified at that time.

7. Intellectual Property and Content

7.1 Intellectual Property Rights: You have a non-exclusive, non-transferable (to the extent permitted by law) right to view, access and use the Service for such time as it is made available by us strictly in accordance with these Terms. You will not acquire any rights to the Service (or the intellectual property rights contained therein) from your use of the Service, other than as set out in these Terms. During and after the term of these Terms, you will comply with Canonical's Intellectual Property Rights policy at https://ubuntu.com/legal/IP.

7.2 Copyrighted Content: All materials provided as part of the Service are copyright of Canonical. All content provided by you or a third party are accessed at your sole discretion and risk.

7.3 Third Party Content: You may use and access content provided by third parties (including without limitation third party exam delivery partners) in your use of the Service. Canonical is not responsible for any content provided by any third party. Should you reasonably believe that any third party content you access through the Service is in breach of any law, regulation or third party's rights, you should notify Canonical in writing at the address below.

7.4 Non-Open Source License Grant: To the extent that the Service provided to you is not under an open source license, Canonical grants to you a world-wide, non-exclusive, non-transferable license for so long as we provide the Service to you, to use Canonical's intellectual property rights in the Service ("Licensed IP") in accordance with these Terms. You may not use, copy, modify, disassemble, decompile, reverse engineer, or distribute the Licensed IP except as expressly permitted in these Terms, or permit access to the Licensed IP to any third party other than those acting on your behalf except as expressly permitted in these Terms.

8. Personal Data

8.1 Accuracy Mandate: In order to access and use the Service, you will be required to provide information about yourself such as your name and email address, as well as optional information such as timezone, country, IP address and related information. Any such information you provide to Canonical must always be accurate, correct and up to date. We may also ask you to participate in Service related surveys, for feedback purposes. Participating in surveys is optional, unless you have been selected to participate in the Service on a beta/trial basis, in which case you will need to complete the surveys in order to receive a badge and grade.

8.2 Privacy Frameworks: Our Privacy Policy and Canonical Academy Privacy Notice explain how we treat your personal data and protect your privacy when using our services. Canonical may need to provide limited personal data, such as your name and email address, to third parties for the purposes of providing you with the Service. By accessing and using the Service you are agreeing to the use of your personal data in this way.

8.3 Analytics & Metrics: We may also collect certain non-personally-identifiable information, which is located on your computer. The information collected may include statistics relating to how often data is transferred, and performance metrics in relation to software and configuration. You agree this information may be retained and used by Canonical.

8.4 Disclosure Under Law: Canonical may disclose any or all personal data and contents you have sent, posted or published if required to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. All other use of your personal data is subject to the Privacy Policy and applicable Privacy Notice.

9. Liability

9.1 Risk Assumption: Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis without warranty of any kind.

9.2 Warranty Exclusions: In the case of the Service provided by Canonical, the Service is provided "as is" and, other than as expressly set out in these Terms, all warranties (whether express, implied, statutory or otherwise) in respect of the Service are expressly excluded to the maximum extent permitted by law.

9.3 Service Availability: Canonical will provide the Service with reasonable care and skill, and Canonical will use reasonable efforts to ensure the availability of the Service, but makes no guarantee that the Service will be available without interruption or will be error-free.

9.4 Third Party Disclaimers: In the case of third party content, you acknowledge that such content is provided to you by the relevant third party pursuant to the relevant terms and conditions and Canonical will have no liability whatsoever in contract, tort or otherwise to you in respect of such content.

9.5 Consequential Exclusions: Canonical will not be liable in contract, tort or otherwise for any: indirect or consequential loss; loss of profits; loss of revenue; loss of anticipated savings; loss of business or business opportunity; loss of goodwill; or loss of or corruption to data. Otherwise, Canonical's total liability in contract, tort or otherwise for any claims is limited to £10.

9.6 Statutory Protections: Nothing in these Terms will exclude or limit Canonical's liability for: death or personal injury caused by the negligence of Canonical; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by law.

10. Governing Law and Jurisdiction

10.1 Jurisdiction: These Terms of Service, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales.

10.2 Forum: The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
